One data model. Every document, every cent, every report.
Caproom is built around a single source of truth: the Term Sheet. Every legal document, investor record, capital movement, GL entry and report descends from it and is automatically updated following changes. No re-keying, no drift, no documents not in sync, no spreadsheet reconciling itself at 2am.
The Living Term Sheet™ · one source of truth, continuously bound
A Living Term Sheet™ is a term sheet that does not stop working once it is signed. Instead of a static document that describes your fund, it is the running data model that operates it. Every downstream surface reads from it, and edits made downstream flow back into it.
Change a single Term Sheet entry (management fee, hurdle, cap, jurisdiction) and the platform propagates it across five downstream surfaces simultaneously. The Term Sheet is not a document, it is the data model. Make changes to your fund documents and these changes are upstreamed to the Term Sheet ensuring all documents and engines are continuously in sync.

Architectural choices
Organization-first scoping
Built from the ground up around organizations, not individuals. Every fund, document, capital movement and report is scoped to an organization, so multiple team members collaborate under the same roof with role-based permissions. No solo-user assumptions, no shared logins, no spreadsheets passed between colleagues.
Four parties, one platform
Designed from day one for four distinct counterparties (fund managers, investors, advisors and portfolio companies) each with their own portal, permissions and data view, all transacting against the same underlying ledger. Most platforms bolt on one party as an afterthought; Caproom treats every party as a first-class citizen.
Engine core / wrapper split
Pure, deterministic financial math (fees, waterfalls, NAV, FX, equalisation) lives in audited core modules with no database coupling. Wrappers handle persistence. The same engine that runs your live fund can be re-run on historical inputs and reconcile to the cent.
Compliance built-in
Activity log on every mutation
Every create, update, delete and status change is logged with who, what, when and before/after state. When the regulator asks, the answer is one query away.
Soft deletes, global restoration
Nothing is ever truly gone. Deleted records flow into a global trash with full restoration, so an accidental deletion is a five-second fix, not a recovery project.
eSignature evidence chain
Every signed document carries a SHA-256 hash, IP, timestamp and authority record. The evidence chain stands up in court, not just in the UI.
European-first, not localised
Dutch GAAP (RJ 610/615) and IFRS, AIFMD Annex IV (DNB-compliant XML/CSV), FATCA/CRS, SEPA ISO 20022 payouts, and native support for CV, FGR, BV and Coöperatie structures. Not a US platform with a localisation layer bolted on. All data processors are based in Europe.
You'll never reconcile the same number twice. You'll never wonder which document is the latest. When the regulator asks, the answer is one query away.
