Why fund documents always drift

A typical Dutch closed-end fund runs on numerous distinct documents: the LPA, the subscription agreement, the side letters, the AIFM agreement, the investment advisory agreement, the AML policy, the SFDR pre-contractual disclosure, the periodic reports. The moment you negotiate a single clause with one LP, the variant has to be reflected in their side letter, and consistency checked against the LPA, the MFN matrix and any earlier side letters.

Word redlines and a shared drive cannot enforce this. The fund's lawyer becomes the human single source of truth, which works until the lawyer is on holiday or until a back-office colleague generates a subscription pack from the wrong template. That is how funds end up signing inconsistent documents, the small kind of error that becomes an expensive kind of dispute three years later.

Documents as a side-effect of the Term Sheet

Side letters work the same way. The MFN matrix scans across all signed side letters for the fund and flags clauses that trigger a most-favoured-nation obligation to other LPs, automatically, on every new draft. Changes that affect already-distributed documents surface in the Sync Center: you see exactly which paragraphs in which documents are now stale, and update with one click. Drafts are editable in the platform itself supporting live editing by multiple persons.

Distribution is permissioned at the document level and at the clause level. Investors only see what their role and share class entitle them to. Every view and download is logged; PDFs published to the investor portal are watermarked per recipient so a leaked confidential side letter is traceable to its source.

Compliance & evidence

Document workflow supports the evidence and retention requirements that apply to a Dutch fund manager, from AIFMD and Wwft record-keeping through to GDPR and eIDAS for eSignature. Watermarked distribution supports the confidentiality undertakings in standard Dutch fund documentation.

Frequently asked questions

Are documents regenerated when the term sheet changes?

Only the affected clauses. Caproom uses anchored clause slots, so a change is applied surgically and manual redlines are preserved.

Can I edit inside the platform?

Yes. Documents are edited in the browser with full formatting control, version history and a sync center showing which proposals are still open or have been dismissed.

How are side letters handled?

Side letters are recorded as deviations from the fund terms, with MFN tracking, so the diverging economics flow automatically into the fee and waterfall calculation for that investor.

Where are documents stored?

In European storage with role-based access, download logging and watermarking for sensitive data room material.
