Why fund formation still takes 4–6 months
For most Dutch emerging managers, forming a fund is still a stack of Word documents, email threads and spreadsheet term sheets that drift out of sync the moment a negotiation reopens. A change in carried-interest split or hurdle rate has to be re-keyed into the LPA, the side letters, the subscription form, the fee model and (months later) the GP accounts. Every re-key is a risk of error, and every error is a partner-time tax you pay for.

How long does it take to set up a Dutch fund with Caproom?
For a standard CV or FGR structure, four to eight weeks to first close is typical, depending on the notary, the tax adviser and how quickly investors submit their KYC. The term sheet and document generation are ready within days; the remaining time sits with external parties.
Which fund structures are supported?
Caproom supports the CV (limited partnership), the FGR (fund for joint account), the cooperative, the BV and SPV structures, including the associated registration and notification routes to the AFM and DNB.
Do I still need a notary or a tax adviser?
Yes. Incorporation deeds and tax advice still require a notary and a tax adviser. Caproom drafts the fund documentation, coordinates those parties and makes sure they work from the same term sheet.
What happens to the fund terms after formation?
The negotiated term sheet remains the source of truth. Any change, for example to the hurdle or the management fee, flows through to the documents, the calculation engines and the reports without anything being re-keyed.
